These Terms and Conditions (“Terms”) govern your access to and use of the Barunity website, mobile applications, and related services (collectively, the “Platform”) operated by Barunity (“Barunity,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

1. Eligibility

You must be at least 18 years of age to register for, access, or use the Platform.

By using the Platform, you represent and warrant that you meet this eligibility requirement.

2. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized access to your account.

3. License to Use the Platform

Subject to compliance with these Terms, Barunity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes.

This license does not permit:

  • Resale or commercial exploitation of the Platform without authorization
  • Copying, modifying, or distributing Platform software/content
  • Reverse engineering or attempting to extract source code
  • Circumventing security or access controls

4. User Content

You retain ownership of content you submit, post, upload, or otherwise make available through the Platform (“User Content”).

However, by submitting User Content, you grant Barunity a worldwide, perpetual, irrevocable, sublicensable, transferable, non-exclusive, royalty-free license to:

  • Host
  • Store
  • Reproduce
  • Modify
  • Adapt
  • Publish
  • Translate
  • Distribute
  • Display
  • Promote
  • Create derivative works from

such User Content in connection with operating, marketing, promoting, and improving the Platform.

You represent and warrant that:

  • You own or control all rights in your User Content
  • Your User Content does not violate any law or third-party rights
  • You have authority to grant the foregoing license

5. Prohibited Conduct

You agree not to post, upload, transmit, distribute, or otherwise make available through the Platform any content or conduct that:

  • Is unlawful, fraudulent, deceptive, or misleading
  • Is sexually explicit, pornographic, obscene, or exploitative
  • Contains nudity or adult sexual content
  • Involves minors in any sexualized or inappropriate context
  • Harasses, threatens, abuses, or intimidates others
  • Promotes hate, violence, or discrimination
  • Infringes intellectual property or privacy rights
  • Contains malware, viruses, spyware, or malicious code
  • Constitutes spam, unauthorized advertising, or solicitation
  • Impersonates another person or entity
  • Violates applicable laws or regulations

6. Moderation and Monitoring

Barunity reserves the right, but not the obligation, to:

  • Monitor Platform activity
  • Review public and private user communications
  • Remove or restrict content
  • Suspend or terminate accounts
  • Investigate suspected misconduct

We may take such actions at our sole discretion and without prior notice.

7. Educational Content Disclaimer

Courses, recipes, educational materials, tutorials, and professional content provided on the Platform are for informational and educational purposes only.

Barunity does not guarantee:

  • Professional certification
  • Accuracy or completeness of educational materials
  • Business, financial, or professional outcomes
  • Regulatory compliance of user-submitted recipes or advice

Users remain solely responsible for reliance on any educational or informational content.

8. Business and Brand Profiles

Businesses, bars, brands, and commercial entities using the Platform are solely responsible for:

  • Accuracy of profile and promotional information
  • Compliance with advertising laws
  • Compliance with alcohol marketing regulations
  • Legality of promotions, offers, contests, or sponsorships

9. Advertising and Sponsored Content

The Platform may contain:

  • Advertisements
  • Sponsored posts
  • Affiliate promotions
  • Brand partnerships

Barunity is not responsible for third-party advertising content, products, or services.

10. Intellectual Property

All Platform software, design, branding, trademarks, logos, text, graphics, and proprietary materials—excluding User Content—are owned by or licensed to Barunity.

You may not use, reproduce, copy, distribute, or exploit Barunity intellectual property without prior written consent.

11. Termination

We reserve the right to suspend, restrict, or terminate your account or access to the Platform at any time, for any reason, including violation of these Terms.

Upon termination:

  • Your right to use the Platform immediately ceases
  • Certain provisions of these Terms survive termination

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARUNITY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • AVAILABILITY
  • SECURITY
  • ERROR-FREE OPERATION

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARUNITY SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • SPECIAL DAMAGES
  • PUNITIVE DAMAGES
  • LOSS OF PROFITS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION

ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Barunity and its affiliates, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses arising out of:

  • Your use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws of the United States and Mexico, without regard to conflict of law principles.

Jurisdiction and venue shall lie in courts selected by Barunity where legally permissible.

16. Changes to Terms

We reserve the right to modify these Terms at any time.

Updated Terms will be posted on the Platform with a revised “Last Updated” date.

Continued use of the Platform after modifications constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Barunity regarding use of the Platform and supersede prior agreements or understandings.
